These Terms of Service ("Terms") are a binding agreement between you and KZAR & COMPANY LLC, a Michigan limited liability company ("KZAR," "we," "us," or "our"). KZAR owns and operates Cardmatic, a software product and service offered under the Cardmatic brand. These Terms apply to cardmatic.io, the Cardmatic application, guest mode, accounts, public Showcase pages, Community, subscriptions, marketplace connections, and related services (collectively, the "Services"). References to Cardmatic as an operator, owner, recipient, or contracting party mean KZAR.
By creating an account, selecting an acceptance checkbox, purchasing a subscription, connecting a marketplace, or otherwise accessing or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services. Feature-specific terms shown at checkout or before you enable a feature also apply. Third-party platforms have their own separate terms.
1. Eligibility and minors
You may not use the Services if you are under 13.
If you are 13–17, or otherwise under the legal age of majority where you live:
- You may use only the non-commerce portions of Cardmatic with the permission and active supervision of a parent or legal guardian.
- Your parent or legal guardian must review and agree to these Terms on your behalf and is responsible for supervising your use.
- You may not independently purchase or manage a paid plan; connect a marketplace; create, publish, edit, synchronize, relist, or remove a listing; conduct a sale; manage buyer or order information; or enable live-price automation.
- Any public Showcase use must be supervised. Do not publish your contact information, school, precise location, payment information, or other sensitive information.
Commerce features must be operated personally by an adult using accounts, credentials, and payment methods that adult is authorized to use. A guardian's permission does not override a marketplace, payment provider, or other third party's eligibility rules, and a minor may not operate or borrow an adult's provider account.
If you use Cardmatic for an organization, you represent that you have authority to bind it to these Terms.
2. Accounts and guest use
Provide accurate information, keep it current, protect your password, devices, sessions, and connected credentials, and promptly report suspected unauthorized use to info@cardmatic.io. You are responsible for activity through your account except to the extent caused by Cardmatic's breach of duty. You may not sell, rent, transfer, or share account credentials or impersonate another person.
Guest records are stored in the browser or device you use and may be lost if site data is cleared, private browsing ends, the browser is reset, or the device is lost. Cardmatic cannot recover browser-only data. Some guest actions, including AI identification or pre-grading, still send submitted material to Cardmatic and configured providers as described in the Privacy Policy. Limits, rate controls, and verification requirements may apply.
3. Limited license and Cardmatic property
Subject to these Terms, KZAR grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Services for personal collection activities or your own lawful internal business operations. KZAR and its licensors retain rights in the software, interface, designs, databases, documentation, trademarks, and other materials that are not your User Content.
You may not resell or commercially exploit the Services themselves; copy or create a competing service from Cardmatic's interface or data compilation; access admin-only features without authorization; or reverse engineer the Services except where applicable law expressly permits it.
4. User Content and uploaded images
"User Content" includes card photographs, listing images, profile and banner images, inventory details, notes, purchase and sale information, titles, descriptions, grading evidence, Showcase content, feedback, and other material you submit. You retain the ownership rights you have in your User Content.
You grant KZAR a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, resize, analyze, transmit, and display User Content only as reasonably needed to operate, secure, support, and improve the Services; perform requested AI analysis; maintain your records; prepare exports or actions you initiate; display content you intentionally publish; work with service providers; resolve disputes; and comply with law. This license continues while the content is stored or published and for reasonable backup, security, dispute, and legal-retention periods afterward.
You represent that you own or have permission to submit the content and that KZAR's permitted use will not violate copyright, trademark, privacy, publicity, confidentiality, contract, or other rights. Your listing and public claims must be truthful and not materially misleading. Do not upload malware, unlawful or stolen content, another person's private information, or material you are prohibited from sharing. We may remove, restrict, or correct content that appears unlawful, infringing, unsafe, deceptive, or inconsistent with these Terms.
5. AI identification and pre-grading
Cardmatic may use automated systems and third-party AI providers to analyze images and information you submit. Results can be incomplete, inconsistent, or wrong. A match is not proof of the exact printing; a pre-grade is not an official grade; and Cardmatic does not authenticate cards, detect every alteration or counterfeit, or guarantee a grading-company result, certification, turnaround time, or resale price.
Review results before saving, publishing, pricing, shipping, submitting for grading, or listing a card. Do not present Cardmatic output as an official grade, authentication, appraisal, certification, or guarantee. To the extent permitted by law and third-party rights, you may use output provided to you, but Cardmatic does not promise that output is unique, copyrightable, or free from third-party claims.
6. Collection records and ownership evidence
Cardmatic may label records Self-reported, Photo-backed, or Verified. Self-reported means the collector represented that the card is owned. Photo-backed means collector-supplied item photos are associated with the record. Verified is reserved for a supported evidence process when available. Catalog artwork is reference material, not ownership evidence.
No photo, label, collection total, or Showcase proves ownership, authenticity, lawful possession, condition, grade, title, or quantity. You are responsible for the accuracy of those claims and may not use Cardmatic to fabricate value, misrepresent ownership, or deceive buyers or collectors.
7. Catalog, pricing, analytics, and tax information
Cardmatic may display catalog details, current and historical market references, sale comparisons, portfolio estimates, grading-return estimates, benchmarks, alerts, profit-and-loss summaries, and tax exports. Data may come from third-party catalog, marketplace, and pricing sources and may be incomplete, delayed, unavailable, or incorrect. A displayed price, historical sale, or active listing does not guarantee a sale or future value.
This information is for organization and general decision support. It is not a certified appraisal or investment, financial, accounting, legal, or tax advice, and it does not guarantee authenticity, condition, liquidity, profit, or performance. Tax and profit tools depend on the records available to Cardmatic. You remain responsible for inspection, recordkeeping, filings, taxes, and advice from qualified professionals. Alerts and emails may be delayed or fail and should not be your only monitoring method.
8. Marketplace connections and sales
Marketplace and commerce features are for adults only.
When you connect a provider or submit or enable an action, you authorize Cardmatic to use the permissions and credentials you provide to perform that action on your behalf. Cardmatic is not the seller, buyer, broker, dealer, consignee, escrow provider, authenticator, payment processor, carrier, or party to your transaction. You remain the seller of record.
- Own or have lawful authority to sell each item, and inspect the physical card before listing it.
- Review identity, printing, condition, grade, authenticity, defects, quantity, title, description, images, category, price, inventory, policies, and shipping details before publishing.
- Comply with marketplace terms, consumer-protection and advertising rules, privacy obligations, taxes, licenses, returns, refunds, chargebacks, and shipping requirements.
- Do not sell stolen, counterfeit, altered, prohibited, or unlawfully obtained items.
CSV exports are preparation tools and must be reviewed before upload. Provider APIs can reject, delay, duplicate, change, or fail an action; credentials can expire; and local and remote inventory can drift. Confirm important prices, quantities, listings, orders, and removals directly with the provider. Disconnecting a provider or deleting Cardmatic data does not automatically end or remove remote listings, products, orders, subscriptions, or provider-held data.
9. Pricing rules, automation, and synchronization
If an adult enables a pricing rule or automation, that adult authorizes Cardmatic to run it according to its saved settings, potentially without another confirmation. The adult operator is responsible for reviewing scope, pricing strategy, percentages, fixed amounts, rounding, floors, ceilings, inventory, and active-listing settings; monitoring results; and pausing rules when no longer wanted. A preview is only an estimate. We do not guarantee that an action will run at a particular time, use current data, reach every provider, succeed, fail safely, or be reversible.
10. Orders, shipping, and buyer information
Cardmatic may import supported orders and organize pick lists, statuses, tracking, and fulfillment. Unless explicitly stated, Cardmatic does not buy postage, create carrier labels, insure shipments, store cards, or physically fulfill orders. The adult seller is responsible for packaging, postage, carrier choice, insurance, customs, tracking, delivery, communications, returns, and deadlines. Buyer data may be used only for lawful transaction, support, fulfillment, tax, and recordkeeping purposes—not unrelated marketing, harassment, identity lookup, resale, or any use prohibited by law or the marketplace.
11. Grading assessments and submission tracking
Cardmatic is not a grading company and does not control a third-party grader's decisions. You are responsible for choosing a grader, confirming its rules, declaring value, packaging and insuring cards, paying fees, tracking shipments, and verifying certification details. We do not guarantee delivery, acceptance, grade, certification, turnaround time, fees, or post-grade value.
12. Showcase and Community
Collections are private by default unless you intentionally publish content or enable public visibility. A published Showcase may display your chosen identity, profile presentation, selected cards and images, evidence labels, card details, statistics, estimated values, and view counts. It may appear in Community and be viewed without signing in.
Public content can be viewed, copied, shared, indexed, cached, or captured by others, and unpublishing cannot remove copies outside Cardmatic's control. Community is a discovery feature, not a marketplace or verification service. Any off-platform communication or transaction is solely between its participants. Do not publish sensitive information. We may moderate, remove, unpublish, or limit discovery of content and investigate fraud, impersonation, infringement, harassment, unsafe conduct, or misleading claims.
13. Paid plans, renewal, cancellation, and refunds
Paid plans may be purchased and managed only by an adult. Current prices, billing intervals, features, usage limits, and renewal terms are shown in Cardmatic and at checkout.
Paid subscriptions renew automatically monthly or annually until canceled. By purchasing, the adult account holder authorizes Cardmatic and its payment provider to charge the disclosed price, applicable taxes, and authorized plan changes at each renewal. An annual plan may show a monthly equivalent for comparison but is charged at the full annual amount shown at checkout.
Cancel through Plan & Billing and the billing portal. Unless checkout or law says otherwise, cancellation takes effect at the end of the paid period. Deleting a Cardmatic account does not itself confirm cancellation of a payment-provider subscription.Cancel and confirm the subscription first or contact us for help. Upgrades, downgrades, credits, proration, and failed payments are handled as shown by the billing provider. A downgrade does not automatically delete cards, but actions above the new allowance may be restricted.
Except where required by law or expressly stated at purchase, charges are non-refundable and no partial refund or credit is provided for unused time, allowances, downgrades, or non-use. Mandatory cooling-off, cancellation, refund, and consumer rights remain unaffected. We may change future prices, plan names, features, or limits. Material renewal-price changes will be communicated when required by law.
14. Referrals, promotions, and affiliate links
Offer-specific rules apply. You may not self-refer, create duplicate or fraudulent accounts, buy fake conversions, spam, impersonate Cardmatic, or make misleading claims. Rewards may be withheld or reversed for refunds, chargebacks, ineligibility, fraud, or abuse; are non-transferable; have no guaranteed cash value; and may create tax obligations. We may change or end a program prospectively.
Some outbound links may be affiliate links, and KZAR may receive a commission from a qualifying purchase at no extra cost to you. Affiliate status does not make Cardmatic the seller or guarantee a third-party product, price, service, or transaction.
15. Third-party services, data, and rules
Cardmatic may interact with catalog, pricing, marketplace, payment, AI, email, analytics, font, affiliate, hosting, and other providers. Third parties operate under their own terms, privacy policies, age limits, permissions, fees, availability, and dispute processes. You must comply with rules that apply to your connected account and activity. Cardmatic's Terms do not grant rights in third-party data, images, services, or intellectual property and do not override a provider's rules.
We do not control or guarantee third-party content, retention, business practices, outages, account decisions, purchases, or policy changes. A link, reference, or integration does not imply endorsement, sponsorship, partnership, or affiliation unless expressly stated. We may suspend, replace, or remove an integration or data source if access, reliability, authorization, provider terms, or law requires it.
16. Acceptable use
You may not use the Services to:
- Break law, sanctions, marketplace rules, provider terms, court orders, or third-party agreements.
- Sell or promote stolen, counterfeit, altered, dangerous, prohibited, or unlawfully obtained goods.
- Misrepresent identity, ownership, authenticity, grade, condition, quantity, value, affiliation, or evidence status.
- Infringe intellectual-property, privacy, publicity, confidentiality, contractual, or other rights.
- Harass, threaten, defame, exploit, stalk, discriminate against, deceive, or impersonate anyone.
- Spam, manipulate referrals, create fraudulent accounts, evade billing, or bypass feature and usage limits.
- Access another person's account, images, private data, tokens, or marketplace connection without permission.
- Introduce malware; disrupt security or availability; probe or bypass authentication, rate limits, metering, or access controls.
- Scrape, crawl, copy, or automate access at a volume or in a manner not expressly authorized by Cardmatic and the applicable provider.
- Use Cardmatic content, outputs, or data to train or operate a competing product except where law prohibits this restriction.
We may investigate suspected misuse and cooperate with providers, rights holders, payment services, and lawful authorities.
17. Intellectual property and rights-holder reports
Cardmatic's name, logo, interface, software, documentation, and original content belong to KZAR or its licensors. Card names, set details, catalog images, logos, marketplace marks, grading-company marks, and other third-party material remain the property of their respective owners. Their appearance is for identification, compatibility, research, or reference and does not grant a right to reproduce, distribute, merchandise, or commercially reuse them.
Cardmatic is not affiliated with, endorsed, sponsored, or approved by Nintendo, Creatures, Game Freak, The Pokémon Company, any grading company, marketplace, or data provider unless expressly stated. If you believe content infringes or misuses your rights, submit a rights-holder removal request or email info@cardmatic.io with the protected work or right, the specific URL or content, your contact information and authority, and a good-faith explanation. We may restrict content during review and may terminate repeat infringers.
18. Feedback
If you submit product ideas or suggestions, you grant KZAR a perpetual, worldwide, irrevocable, royalty-free right to use, modify, and incorporate that feedback without compensation or attribution. This does not transfer ownership of card photographs or other User Content submitted for a different purpose.
19. Suspension, termination, and account deletion
You may stop using Cardmatic at any time. We may restrict, suspend, or terminate access when we reasonably believe you violated these Terms; present fraud, legal, payment, provider, safety, or security risk; failed to pay charges; a provider or lawful authority requires action; or continuing an account or feature is no longer operationally or legally practical. We may act immediately when reasonably necessary.
Deletion may remove account-bound records from active Cardmatic systems, but it may not cancel a separate subscription; remove remote listings, products, orders, or provider data; erase browser-only data on every device; remove public copies, caches, or exports; or immediately remove backups, security, billing, tax, fraud-prevention, feedback, acceptance, dispute, or legal records reasonably retained. Export information you need before deletion. Terms that by their nature should survive continue after termination.
20. Service availability and changes
We may add, remove, change, suspend, or discontinue features, integrations, data sources, limits, or portions of the Services. We do not guarantee uninterrupted availability, compatibility with every device or provider, permanent storage, or continued access to a specific marketplace, model, feed, plan feature, or beta function. Where reasonably practical, we will provide notice of a material reduction to a paid feature during an active billing period. Mandatory legal rights remain unaffected.
21. Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available." KZAR disclaims express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and warranties arising from course of dealing or usage of trade.
We do not warrant uninterrupted, secure, error-free service; accurate or complete AI results, matches, grades, prices, alerts, reports, exports, or provider actions; lawful, authentic, owned, or correctly described user or catalog content; a particular sale, value, grade, delivery, or profit; or a third party's completion, reversal, or maintenance of an action. Non-waivable warranties and consumer rights remain.
22. Limitation of liability
To the maximum extent permitted by law, KZAR, its affiliates, members, managers, officers, personnel, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, opportunity, goodwill, data, inventory, market value, or business interruption arising from or related to the Services.
This includes losses involving AI or catalog errors; pricing decisions or market changes; missed alerts or automation; listings, sales, refunds, fees, chargebacks, or provider actions; shipping, grading, authentication, theft, damage, or physical-card loss; public content or user transactions; third-party outages or policy changes; and guest or unbacked-up data.
To the maximum extent permitted by law, KZAR's total aggregate liability for claims arising from the Services will not exceed the greater of the amount you paid KZAR for the Services during the 12 months before the event giving rise to the claim or US $100. These limits apply regardless of legal theory, even if loss was foreseeable. They do not limit liability that cannot legally be limited, including fraud, willful misconduct, or mandatory consumer rights.
23. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless KZAR and its affiliates, members, managers, officers, personnel, contractors, and service providers from third-party claims, losses, liabilities, penalties, damages, and reasonable legal expenses arising from your User Content; ownership, authenticity, condition, or value claims; listings, sales, buyer interactions, shipping, refunds, taxes, or marketplace activity; your violation of these Terms, law, or a third-party agreement; infringement or misuse of rights; fraud; willful misconduct; or unauthorized use of an account or data. This does not apply where consumer law prohibits it.
24. Disputes and applicable law
Before filing a formal claim, you and KZAR agree to try in good faith to resolve it. Email a written notice describing the issue, requested relief, and relevant account information to info@cardmatic.io. If it is not resolved within 30 days after receipt, either party may pursue available legal remedies.
These Terms are governed by the laws of the State of Michigan and applicable federal law, without regard to conflict-of-law rules. Subject to non-waivable consumer protections and any legally mandatory forum, the state courts located in Oakland County, Michigan, and the United States District Court for the Eastern District of Michigan have exclusive jurisdiction and venue. Nothing in these Terms creates mandatory arbitration or waives participation in a class action.
25. Changes and electronic notices
We may update these Terms as the Services or law changes. We will post the revised Terms and update the date above. For material changes, we may provide notice in the Services or by email and may require renewed acceptance. Changes apply prospectively from their stated date. If you do not agree, stop using the affected Services and cancel any subscription before renewal.
You agree that account, security, billing, provider, legal, and service notices may be delivered electronically in Cardmatic or to your account email. Keep that address current. Marketing choices, where offered, remain separate from operational communications.
26. General terms
These Terms, the Privacy Policy, and applicable feature-specific terms are the entire agreement about the Services. If a provision is unenforceable, it will be modified only as much as necessary and the rest will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. KZAR may assign them with a merger, financing, reorganization, asset sale, or transfer of the Services, subject to law. We are not responsible for delays caused by events beyond reasonable control. Headings are for convenience.
